CHARTER

OF THE

OHIO VALLEY SECTION

OF THE

AMERICAN INSTITUTE OF CHEMICAL ENGINEERS

ARTICLE I. NAME

The name of this organization is the Ohio Valley Section of the American Institute of Chemical Engineers (hereinafter called "the Section").

ARTICLE II. SCOPE

The membership of the Section shall be drawn mainly from the following counties:

In Ohio: Hamilton, Clermont, Brown, Adams, Butler, Warren, Clinton, Highland

In Kentucky: Boone, Kenton, Campbell, Gallatin, Grant, Pendleton, Bracken, Mason

In Indiana: Switzerland, Ohio, Dearborn, Franklin

The Section may also admit members from other localities in accordance with its bylaws.

ARTICLE III. PURPOSES

  1. To provide a focus for the professional activities of the members of the American Institute of Chemical Engineers who are from the aforementioned counties.

  2. To provide continuing education in technical and other professional aspects of chemical engineering and allied engineering sciences to the members of the Ohio Valley Section.

  3. To organize and conduct meetings at which the members of the section can meet and talk with other members of the chemical engineering profession.

  4. To provide information on the current activities of the national organization of the American Institute of Chemical Engineers to the members.

  5. To coordinate joint meetings with other local sections of the American Institute of Chemical Engineers and with other technical societies for the mutual education of the members.

  6. To provide career guidance information to its members and to students who may be interested in becoming chemical engineers.

  7. To disseminate information on other continuing education opportunities, such as specialized lectures, national meetings, and symposia, which may be of interest to its members.

  8. To perform other activities, including charitable and political in nature, if executed consistent with this Charter and the Bylaws of the Section.

The primary purpose of this organization is to provide education to its members.

ARTICLE IV. POWERS

The Section shall have the power to do any lawful acts reasonably necessary or desirable to carry out the Section's purposes and to protect the lawful rights and interests of its membership in connection therewith.

ARTICLE V. GENERAL

Section 1. All matters properly brought in question shall be decided by a majority of the votes cast, except where the Charter or Bylaws provide for a greater ratio of favorable votes.

Section 2. In the case of any question concerning the interpretation of any portion of the Charter or Bylaws, the decision of the Executive Committee of the Section shall be final unless it is superseded by a decision of the Career and Education Operating Council of the American Institute of Chemical Engineers.

Section 3. The Section shall not be held responsible for unauthorized opinions of its members, no matter how or where expressed.

Section 4. The Section does not consent to the use of its name for any purpose other than the objectives stated in this Charter.

ARTICLE VI. AMENDMENTS

Section 1. All provisions of this Charter shall be subject to alteration or repeal. All revisions of this Charter shall be consistent with the Constitution of the American Institute of Chemical Engineers or any provision of the law.

Section 2. An amendment may be proposed by any member of the Section. If 3/5 of the members of the Executive Committee approve the amendment, it shall be sent to the entire Section membership for approval. The vote of the membership shall be valid if 25% of the current members cast votes, and the proposed amendment shall be adopted if 2/3 of those voting approve it. If the vote is invalid because fewer than 25% of the Section's membership cast votes, the Executive Committee shall reconsider the proposed amendment and, if 4/5 of the Executive Committee approves, the amendment shall be adopted.

Section 3. All amendments to the provisions of this Charter shall be subject to approval by the Career and Education Operating Council of the American Institute of Chemical Engineers.

ARTICLE VII. DISSOLUTION

Section 1. Upon the dissolution of the Section, any assets remaining thereafter shall be conveyed to the American Institute of Chemical Engineers.
